General Terms of Use (GTU) of the FLD TECH website
Preamble
These General Terms of Use (GTU) define the conditions for access to and use of the FLD TECH website (hereinafter the "Website") by business users (hereinafter the "Users"). They are offered by the company FLD TECH (hereinafter the "Supplier").
Article 1: Purpose
The purpose of these GTU is to define the terms of use of the website by Users and to set out the rights and obligations of the parties.
The website is intended to enable Users to purchase products offered for sale on the Website (the "Products") by the Supplier.
These General Terms of Use (the "GTU") set out the conditions under which the Supplier provides Users with the technological tools enabling them to purchase the Products offered for sale by the Supplier on the Website.
They supplement the General Terms and Conditions of Sale that govern sales between Users and the Supplier and must be accepted by the User in order to use the services of the Website, by means of validation upon registration on the Website and on the occasion of each purchase made on the Website.
Article 2: Scope
These GTU apply, without restriction or reservation, to the use of the services and technological tools made available to Users by the Website.
These tools allow Users to register on the Website, order Products, pay for them and communicate with the Supplier where necessary.
These GTU are accessible at any time on the Website and shall prevail, where applicable, over any other version or any other contradictory document.
Article 3: Acceptance of the GTU
Use of the Website implies full and unreserved acceptance of these GTU. By accessing the Website, the User acknowledges that they have read the GTU and accept them without reservation.
Article 4: Access to the website and the E-Shop
The Website is accessible free of charge to Users.
Ordering Products from the e-shop on the Website is accessible only to Users who have received a prior invitation. This invitation is issued at the sole discretion of the Supplier and in no way constitutes an automatic or permanent right of access. Only Users who have expressly accepted the invitation and complied with the specific conditions communicated to them may access and use the E-Shop.
The User undertakes not to share, transfer or sell their invitation to third parties without the Supplier's prior consent. In the event of violation of this clause, the Supplier reserves the right to suspend or terminate the access of the User concerned.
Access may be revoked at any time by the Supplier without notice and without justification.
All costs relating to access to the Website, whether hardware, software or internet access costs, are the sole responsibility of the User.
Article 5: Content of the website, description and characteristics of the Products
The products offered for sale in the E-Shop of the Website are described and presented as accurately as possible. However, should errors or omissions occur in this presentation, the Supplier's liability cannot be engaged. The photographs and texts illustrating the products are for indicative purposes only and do not fall within the contractual scope.
Article 6: Prices
Product prices are indicated in euros, excluding tax (VAT excl.), and excluding delivery charges. The Supplier reserves the right to modify its prices at any time, but the Products will be invoiced on the basis of the prices in force at the time of order validation.
Product delivery charges are calculated based on the weight and volume of the products ordered, and the delivery area. Delivery charges will be clearly indicated upon order validation and before payment.
Article 7: Order process
The Product ordering process takes place in several steps:
- Product selection: The User selects the Products they wish to purchase and adds them to their basket.
- Basket verification: The User can check the contents of their basket, modify quantities or remove products before proceeding to the next step.
- Identification: The User must identify themselves or create an account to finalize their order.
- Order summary: An order summary is presented to the User, including the selected products, quantities, unit prices excluding tax, total price excluding tax and including tax, delivery charges and the total amount to be paid.
- Acceptance of the GTU: The user must accept these GTU as well as the Supplier's General Terms and Conditions of Sale by checking the boxes provided for this purpose.
- Order validation: The User validates their order by clicking on the confirmation button. This validation constitutes an irrevocable acceptance which can only be called into question in the cases expressly provided for in these GTU.
Correction of errors
The User has the possibility to verify the details of their order and its total price, and to correct any errors before confirming it to express their acceptance. This verification constitutes the first click of the double-click rule.
Order confirmation (double-click rule)
Confirmation of the order by the User constitutes the final validation thereof. This confirmation is materialized by a second click on the order confirmation button. After this second click, the contract is definitively formed and binds both parties.
Article 8: Intellectual property
The Website and all the elements composing it (texts, images, videos, etc.) are the exclusive property of the Supplier. Any reproduction, representation, modification, publication, adaptation of all or part of the elements of the Website, whatever the means or process used, is prohibited without the prior written authorization of the Supplier.
Article 9: Liability
The Supplier undertakes to implement all necessary means to ensure the proper functioning of the Website. However, it cannot be held liable for service interruptions, malfunctions or unavailability of the Website due to force majeure, technical breakdowns, network problems or any other cause beyond its control.
The Supplier does not guarantee that the site is free from anomalies, errors or bugs, nor that these can be corrected. It cannot be held liable for direct or indirect, material or immaterial, foreseeable or unforeseeable damages, resulting from the use of the Website or from the total or partial impossibility of using the Website.
The Supplier's liability cannot be engaged in the event of fraudulent or abusive use, or due to voluntary or involuntary disclosure by the User to anyone of their access data to the Website.
Article 10: Personal data
In accordance with the General Data Protection Regulation (GDPR), the Supplier undertakes to respect the confidentiality of the Users' personal data. The data collected is used only in connection with the services offered by the Website, for the placing and processing of orders. Article 11: Modification of the GTU
The Supplier reserves the right to modify these GTU at any time. The new GTU will be published on the Website and will be applicable as soon as they are published online.
Article 12: Disputes
These GTU and the operations resulting therefrom are governed by French law.
They are written in French. In the event that they are translated into one or more languages, only the French text shall prevail in the event of a dispute.
ANY DISPUTE THAT MAY ARISE BETWEEN THE USER AND THE SUPPLIER, AS PART OF THEIR RELATIONS, SHALL BE WITHIN THE EXCLUSIVE JURISDICTION OF THE COURTS WITHIN THE JURISDICTION OF THE COURT OF APPEAL OF NANCY.

Article 14: Online payment
The Website offers a secure online payment service for commercial transactions. Users undertake to use this service in accordance with the instructions provided on the Website.
14.1 Payment methods
Online payments can be made by credit card. The available payment methods are indicated at the time of the transaction.
14.2 Transaction security
The Supplier implements security measures to guarantee the confidentiality and integrity of the data exchanged during online transactions. Information relating to credit cards is encrypted and protected by security protocols compliant with current standards.
14.3 Payment confirmation
Following each transaction, the User will receive a payment confirmation by email, summarizing the order details and the amount paid. This confirmation serves as proof of the transaction.
14.4 User responsibility
The User is responsible for the validity of the information provided when paying online. In the event of error or fraud, the Supplier reserves the right to cancel the transaction and take the necessary measures to protect its interests.
14.5 Payment disputes
IN THE EVENT OF A DISPUTE RELATING TO ONLINE PAYMENT, THE USER UNDERTAKES TO CONTACT THE SUPPLIER AS SOON AS POSSIBLE TO FIND AN AMICABLE SOLUTION. IN THE ABSENCE OF AN AMICABLE RESOLUTION, THE DISPUTE SHALL BE SUBMITTED TO THE COMPETENT COURTS WITHIN THE JURISDICTION OF THE COURT OF APPEAL OF NANCY.
